These Terms require the use of binding arbitration on an individual basis to resolve disputes, rather than jury trials, and limit the remedies available to you in the event of a dispute. By enrolling in, purchasing, accessing, or using any of our Programs, Products, Services, software applications, and Program Materials, you understand and agree that you are waiving certain legal rights and are voluntarily agreeing to do so.

By purchasing or using any of our Programs, Products, Services, software applications, or Program Materials, you agree to abide by these Terms, our Privacy Policy, and any other terms, conditions, disclaimers, or policies that may apply. Accessing, purchasing, or using our Programs, Products, Services, software applications, or Program Materials in any manner constitutes your acceptance of these Terms.
All of our Programs, Products, Services, software applications, and Program Materials are intended solely for users who are eighteen (18) years of age or older. HTMA Analysis App
For purposes of these Terms, our “Programs, Products, and Services” include the HTMA Analysis App, which is a web-based software platform made available by Test Don’t Guess, LLC for use by practitioners and other approved professional users, together with any related features, tools, report-generation functionality, support materials, and content made available through the platform.
Intellectual Property Rights
Our Limited License to You
Our Programs, Products, Services, software applications, and Program Materials are our property and/or the property of our affiliates or licensors, and are protected by copyright, trademark, and other intellectual property laws.
The content in our Programs, Products, Services, software applications, and Program Materials is solely owned by or licensed to us unless otherwise indicated. This content includes, but is not limited to, the design, layout, look, appearance, graphics, software functionality, workflows, report formats, written content, educational materials, and other materials provided by us to you. Reproduction is prohibited except in accordance with these Terms.
If you purchase or access any of our Program Materials through our Programs, Products, or Services, you are granted a revocable, non-exclusive, non-transferable license for your own personal use and, where applicable, your own internal professional business use only, subject to these Terms.
If you purchase or are granted access to the HTMA Analysis App, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the platform for your own internal professional business use only, subject to these Terms. You may not sublicense, resell, share, reproduce, copy, or provide access to the HTMA Analysis App to any other person or entity without our prior written consent.
You may download and/or print Program Materials for your own personal use and, where applicable, your own internal business use.
However, you are not permitted to share, sell, reprint, republish, sublicense, distribute, or otherwise provide our Programs, Products, Services, software applications, or Program Materials to any other person for resale, mass reproduction, commercial exploitation, or unauthorized business use. This includes sharing access with friends, family members, colleagues, staff, contractors, or other third parties unless expressly permitted by us in writing.
Any trademarks, taglines, service marks, and logos displayed in our Programs, Products, Services, software applications, or Program Materials are trademarks belonging to us unless otherwise indicated. Any use of these marks without our prior written consent is strictly prohibited.
All rights not expressly granted in these Terms are reserved by us.
Information You Are Prohibited from Sharing with Others
As a licensee, you understand and acknowledge that our Programs, Products, Services, software applications, and Program Materials have been created, developed, or obtained by us through significant investment of time, effort, and expense, and are valuable assets that must be protected from improper or unauthorized use.
When you enroll in, purchase, or access our Programs, Products, Services, software applications, or Program Materials, you agree that you are expressly prohibited from doing the following:
Copying, sharing, stealing, scraping, or reproducing our Programs, Products, Services, software applications, or Program Materials, in whole or in part
Using, copying, adapting, or representing any of our Programs, Products, Services, software applications, or Program
Materials as your own
Modifying, reproducing, republishing, uploading, posting, transmitting, translating, selling, exploiting, reverse engineering, decompiling, creating derivative works from, or distributing any part of our Programs, Products, Services, software applications, or Program Materials without our prior written consent
Duplicating, sharing, trading, selling, reselling, sublicensing, or otherwise distributing access to our Programs, Products, Services, software applications, or Program Materials to any other person or business
Violating our intellectual property rights, including copyright, trademark, and trade secret rights
Reprinting or republishing any portion of our Programs, Products, Services, software applications, or Program Materials in your own products, services, content, or client materials without written permission
Using the HTMA Analysis App or any related functionality in a way that infringes our rights or exceeds the scope of the license granted to you
You understand and agree that improper or unauthorized use of our Programs, Products, Services, software applications, or Program Materials may constitute theft, copyright infringement, and/or misappropriation, and may give rise to civil and/or criminal liability.
Limitations on Linking and Framing
You may establish a hypertext link to our Website so long as the link does not state or imply sponsorship, endorsement by, or ownership by us, and does not state or imply that we sponsor, endorse, or own your website. You may not frame or inline link our content without our prior written permission.
Your License to Us
By posting or submitting any material on or through our Programs, Products, Services, software applications, or Program Materials, including comments, posts, photos, images, videos, uploaded files, testimonials, or other contributions, you represent that you own that material or otherwise have the legal right to provide it.
When you voluntarily submit content to us or through our platform, you grant us and anyone authorized by us a limited, non-exclusive right to use, host, store, display, reproduce, transmit, and process that content as necessary to operate, maintain, improve, and provide our Programs, Products, Services, software applications, and Program Materials.
This does not give us ownership of your own original ideas, programs, or offerings.
Use of the HTMA Analysis App
The HTMA Analysis App is intended solely for practitioners and other approved professional users authorized by Test Don’t Guess, LLC. By accessing or using the HTMA Analysis App, you represent and warrant that you are using the platform in a professional capacity and only for lawful, authorized purposes.
You are responsible for all information entered into the HTMA Analysis App under your account, including client information, uploaded reports, edits, and use of any generated summaries or report language.
You agree to use the HTMA Analysis App only in compliance with all applicable laws, regulations, professional standards, confidentiality obligations, and client-consent requirements relevant to your business, profession, and jurisdiction.
We reserve the right to suspend or terminate access to the HTMA Analysis App at any time if we believe, in our sole discretion, that the platform is being used improperly, unlawfully, outside its intended purpose, or in violation of these Terms.
Client Data and Practitioner Responsibility
The HTMA Analysis App may allow users to enter identifiable client information, including but not limited to client names, email addresses, dates of birth, and uploaded HTMA laboratory reports.
You represent and warrant that you have all necessary rights, permissions, authorizations, and consents to enter, upload, store, process, and use any client information within the HTMA Analysis App.
You are solely responsible for ensuring that your collection, use, entry, storage, and disclosure of client information through the HTMA Analysis App complies with all applicable privacy laws, confidentiality obligations, informed consent requirements, and professional standards.
We are not responsible for verifying whether you have obtained appropriate client authorization, and we disclaim liability arising from your misuse of client information or your failure to comply with applicable legal, regulatory, or professional obligations.
HIPAA and Protected Health Information
The HTMA Analysis App is not intended to function as a HIPAA-compliant electronic medical record system or protected health information storage platform.
By using the HTMA Analysis App, you understand and agree that you should not use the platform to store protected health information unless you have independently determined that such use is lawful, appropriate, and compliant with your own professional and legal obligations.
You remain solely responsible for determining whether any information you enter into the HTMA Analysis App is subject to HIPAA or any other privacy, health data, or client data protection law.
Automated Analysis and AI-Generated Content
The HTMA Analysis App includes algorithmic interpretation features and AI-assisted language generation tools that help organize information and generate written report language based on data entered by the user and our internal knowledge base.
These features are provided solely as informational tools. Test Don’t Guess, LLC does not guarantee the accuracy, completeness, reliability, or suitability of any automated, algorithmic, or AI-generated output.
You understand and agree that any automated or AI-generated content must be independently reviewed by you before use, and that you remain solely responsible for how such content is interpreted, edited, communicated, or used with clients.
The HTMA Analysis App should not be used as the sole basis for client communication, clinical reasoning, or health-related decision-making.
No Medical or Diagnostic Use
The HTMA Analysis App and all related outputs are provided for educational, informational, and organizational purposes only. The HTMA Analysis App does not diagnose, treat, cure, or prevent any disease or medical condition, and it is not intended to replace clinical judgment, medical advice, or professional evaluation.
Any outputs, summaries, correlations, or reports generated through the HTMA Analysis App are not medical advice and must not be relied upon as the sole basis for any health-related, medical, or clinical decision.
You acknowledge and agree that you are solely responsible for reviewing, evaluating, editing, and determining the appropriateness of any content generated through the HTMA Analysis App before using or sharing it in any way.
Uploaded Files
If the HTMA Analysis App permits you to upload HTMA laboratory reports or other files, you retain ownership of the content you upload. However, by uploading such files, you grant us a limited right to host, store, process, transmit, and use those files solely as necessary to operate, maintain, secure, and improve the functionality of the HTMA Analysis App.
You represent and warrant that you have the right to upload any file or content submitted through the HTMA Analysis App and that such upload does not violate any law, privacy right, confidentiality obligation, or third-party right.
Request for Permission to Use Content
Any request for written permission to use our Programs, Products, Services, software applications, or Program Materials, in whole or in part, should be made before you wish to use them by contacting us at hello@testdontguess.org.
If you are granted permission by us, you agree to use only the specific content we allow and only in the ways for which we have given written permission.
Security
When you apply for, enroll in, purchase, subscribe to, or use our Programs, Products, Services, software applications, or Program Materials, we may collect personal data and information including but not limited to your name, email address, billing information, payment information, demographic information, preferences, interests, or other personally identifying information (“Confidential Information”).
By providing such Confidential Information to us, you grant us permission to use and store it in accordance with our Privacy Policy. We use commercially reasonable efforts to keep your Confidential Information safe, secure, and confidential. However, due to the nature of the internet, we cannot completely ensure or warrant the security of any information transmitted to us or through our services.

To access certain features, including the HTMA Analysis App, you may be required to create an account and maintain a valid username, email address, and password.
You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.
We are not liable for any loss, damage, or unauthorized access resulting from your failure to safeguard your credentials or from access obtained through your account, whether authorized by you or not.
Facebook Groups
Some Programs, Products, or Services may include access to a private Facebook Group. These Terms also apply to that Facebook Group. Because Facebook is a third-party platform, we cannot guarantee your privacy for information you voluntarily share there.
Personal Responsibility and Assumption of Risk
As a user and licensee, you agree that you are using our Programs, Products, Services, software applications, and Program Materials at your own risk. They are for informational and educational purposes only. You assume all risks associated with your use, misuse, or non-use of them, and no specific results are guaranteed.

To the fullest extent permitted by law, we expressly exclude liability for any direct, indirect, incidental, consequential, special, equitable, or punitive loss or damage incurred by you or others in connection with the use of our Programs, Products, Services, software applications, or Program Materials.
Medical Disclaimer
Our Programs, Products, Services, software applications, and Program Materials are not medical advice, mental health advice, diagnosis, or treatment. Nothing provided by us is intended to substitute for professional medical advice, diagnosis, or treatment from your physician or other licensed health care provider.
We are not providing health care, medical care, mental health care, or nutrition therapy services, and we are not attempting to diagnose, treat, prevent, or cure any disease, condition, or disorder.
App-Specific Disclaimer
Without limiting the generality of the foregoing, Test Don’t Guess, LLC is not responsible for:
data entered by users into the HTMA Analysis App,
reliance on any automated, algorithmic, or AI-generated output,
the use or misuse of client information entered into the platform,
unauthorized access to user accounts caused by user negligence, or
service interruptions, software errors, outages, or temporary unavailability of the HTMA Analysis App.
Legal and Financial Disclaimer
Our Programs, Products, Services, software applications, and Program Materials are not legal, financial, accounting, or tax advice. You should consult your own legal, financial, tax, and accounting advisors regarding your specific circumstances.
Earnings Disclaimer
We do not guarantee any particular business, financial, educational, professional, or other result from use of our Programs, Products, Services, software applications, or Program Materials.
Warranties Disclaimer
WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING OUR PROGRAMS, PRODUCTS, SERVICES, SOFTWARE APPLICATIONS, OR PROGRAM MATERIALS. To the fullest extent permitted by law, we shall not be liable for any damages of any kind arising out of or related to your use of or inability to use our Programs, Products, Services, software applications, or Program Materials.
Release of Claims
You hereby release us from any and all claims arising from your purchase, access, use, misuse, or inability to use our Programs, Products, Services, software applications, or Program Materials, including any claims relating to client communications, generated reports, professional services you provide, or any results or outcomes related to your use of the HTMA Analysis App.
Your Conduct
You agree not to use our Programs, Products, Services, software applications, or Program Materials in any way that causes or is likely to cause them to be interrupted, damaged, impaired, or used unlawfully.
You agree not to use our Programs, Products, Services, software applications, or Program Materials:
for fraudulent purposes or in connection with unlawful activity;
to upload, transmit, or use material that is illegal, defamatory, abusive, invasive of privacy, or infringing of intellectual property rights;
to upload data you do not have the legal right to use;
to send viruses, malicious code, spam, mass mailings, or harmful material;
to impersonate another person or entity;
to reverse engineer, scrape, copy, or exploit the HTMA Analysis App or any part of our software;
to generate misleading, deceptive, diagnostic, or unauthorized medical content;
to allow unauthorized third parties to access your account.

Purchases and Online Commerce
By purchasing a Program, Product, Service, or subscription, you authorize us to charge your selected payment method for the applicable fees.
Subscription Access and Billing
Certain access to the HTMA Analysis App may be offered on a recurring monthly subscription basis. By enrolling in a subscription, you authorize us to charge the payment method on file for all recurring fees unless and until you cancel in accordance with the applicable subscription terms.
If a subscription payment fails or your account becomes delinquent, we reserve the right to suspend or terminate access to the HTMA Analysis App until payment is successfully processed.
Unless otherwise required by law or expressly stated by us in writing, subscription fees are non-refundable.
All information obtained during your purchase or transaction may be collected by both us and our payment processor. Please review the privacy policy of the applicable payment processor.
You agree to be financially responsible for all purchases made by you or on your behalf.
We do not tolerate chargeback abuse. In the event of a chargeback or chargeback threat, we reserve all rights available to us at law or in equity.
Refund Policy
Your satisfaction is important to us. However, due to the extensive time, effort, preparation, access, and digital delivery involved in our Programs, Products, Services, software applications, and Program Materials, all sales are final unless otherwise required by law or expressly stated by us in writing.
We do not offer refunds for any portion of your payment for any of our Programs, Products, Services, subscriptions, software applications, or Program Materials.
Termination

We reserve the right, in our sole discretion, to refuse, suspend, or terminate your access to our Programs, Products, Services, software applications, or Program Materials, in whole or in part, at any time.
Upon termination or cancellation of access to the HTMA Analysis App, we reserve the right to disable or delete access to the platform and associated stored data in accordance with our internal policies, legal obligations, and Privacy Policy.
Any payment obligations accrued prior to termination will remain due and payable.
All provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, indemnification, limitations of liability, arbitration provisions, and payment obligations.
Dispute Resolution
We hope to resolve any concerns amicably through email correspondence. If we are unable to do so, you agree that any dispute arising out of or relating to these Terms, our Programs, Products, Services, software applications, or Program Materials shall be resolved exclusively by binding arbitration before a single arbitrator in accordance with the rules of the
American Arbitration Association.

Any arbitration shall take place in Virginia Beach, Virginia, and judgment on the arbitration award may be entered in any court of competent jurisdiction.
To the fullest extent permitted by law, any claim must be brought individually and not as part of a class action or representative proceeding.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

You also agree that should arbitration take place, it will be held in Virginia Beach, VA, and the prevailing party shall be entitled to all reasonable attorneys’ fees and all costs necessary to enforce the decision of the arbitrator.
In the event of a dispute between us, you agree to not engage in any conduct or communications, public or private, including on social media, designed to disparage us, our Company, or any of our Programs, Products or Services. Where requested by law or arbitration, of course, you are not prohibited from sharing your thoughts and opinions as a part of the legal process.
If any terms of these Terms of Use are construed to be invalid or unenforceable for any reason, it shall not affect the validity or enforceability of any other term which shall be given full force and effect.
Governing Law
These Terms of Use shall be governed by the laws of the State of Virginia, regardless of the conflict of laws principles thereof.

To use our Programs, Products, Services or Program Materials, we may seek personal data or information including your name, e-mail address, phone number, street address, billing information, birthday, preferences, interests, assignments, or other personally-identifying information (“Confidential Information”), or you may offer or provide a comment, photo, image, video or any other submission to us when using or participating in our Programs, Products, Services or Program Materials (“Other Information”). By providing such Confidential Information or Other Information to us, you grant us permission to use and store such information in accordance with our Privacy Policy. Viewing by Others. You may be able to change to username and/or password of your choosing. You are responsible for maintaining the confidentiality of the password and account, and are responsible for all activities (whether by you or by others) that occur under your password or account.
